The LLC Layering Trap: Which DSCR Lenders Allow Multi-Tier Holding Entities, Series LLCs & Wyoming Trusts

Executive Underwriting Summary (BLUF)

Asset-protection attorneys routinely structure real estate portfolios with a property-level Special Purpose LLC owned 100% by a Wyoming or Delaware Holding LLC (or Revocable Living Trust). Yet 60% of retail DSCR lenders reject files in closing week if the Operating Agreement shows a layered corporate member. Here is how to clear multi-tier entity underwriting.

1. Clearing Two-Tier Holding LLC Structures (Property LLC -> Parent Holding LLC -> Natural Person Guarantors)

In our 267 deep program matrices, 54 wholesale lenders explicitly permit 2-tier (and up to 3-tier) layered LLC ownership—provided you supply the Articles of Organization, EIN letters, Certificate of Good Standing, and Operating Agreements for EVERY entity tier up to the natural-person warm-body guarantors.

2. Navigating the 20% vs. 25% vs. 51% Personal Guaranty Ownership Rule

Some lenders require 100% of all LLC members to sign the personal guaranty, which kills syndications with passive LP partners. Instead, route syndicated deals to lenders that only require members holding >= 25% (or >= 51% aggregate) ownership to be underwritten and sign the carve-out/full guaranty.

3. Texas, Delaware & Illinois Series LLC Underwriting Rules

When vesting in a statutory Series LLC (e.g., ABC Holdings LLC - Series 4), title companies and wholesale underwriters require an explicit Series Designation Agreement and a separate EIN for the individual Series cell so cross-liability is legally ring-fenced.
